msoBACKUP Terms of Service

These Terms of Service ("Terms") govern your use of msoBACKUP software and related services ("Software", "Service") provided by NGUYEN HAI QUANG MINH, an individual software developer and sole proprietor ("I", "me", or "my").

By downloading, installing, activating, purchasing a license for, or using msoBACKUP, you agree to these Terms.

If you do not agree with these Terms, do not use the Software.

1. Software

msoBACKUP is desktop backup and file management software for Windows and macOS.

Depending on the version and license purchased, msoBACKUP may include:

• Smart and incremental file and folder backup
• Multiple simultaneous backup tasks
• Scheduled automatic backups
• Pause, resume and retry functionality
• File version history
• File recovery
• Duplicate file detection
• File indexing and search
• LAN file sharing
• HTTP, SMB and WebDAV services
• Photo gallery and media browsing
• File preview
• Automatic software updates
• Multiple language support

Features may vary between versions, operating systems, editions and license types.

I reserve the right to modify, improve, add, remove, or discontinue features in future versions.

2. License

A purchased license grants you a limited, non-exclusive, non-transferable right to use msoBACKUP according to the license type purchased.

Unless explicitly stated otherwise:

• the license is associated with a specific device;
• the license may not be shared with other users;
• the license may not be resold, sublicensed, rented or leased;
• the license may not be transferred to another person;
• the Software may not be redistributed without authorization.

2.1 3-Month, 6-Month and 1-Year Licenses

These licenses are one-time purchases that grant access to the applicable paid features for the stated license period.

They are not automatically recurring subscriptions.

When the license period expires, paid features may become unavailable unless the license is renewed or another valid license is purchased.

2.2 Perpetual License

A Perpetual license permits continued use of the specific major version covered by the license.

For example, a license for msoBACKUP v1 does not automatically include future major versions such as v2 unless explicitly stated.

3. Free and Trial Versions

msoBACKUP may provide Free and Trial versions.

Free and Trial versions may have limitations regarding features, duration, usage or functionality.

I may modify these limitations in future versions.

4. License Activation and Verification

License activation may require:

• license key;
• email address;
• hardware/device identifier;
• application version;
• operating system or platform information.

msoBACKUP may periodically communicate with its licensing servers to verify license status and prevent unauthorized use.

Temporary inability to contact the licensing server does not necessarily mean that a valid license will immediately become unusable.

5. License Abuse

I reserve the right to suspend, deactivate or revoke a license where there is reasonable evidence of:

• fraud;
• payment fraud;
• chargeback abuse;
• license sharing;
• unauthorized redistribution;
• piracy;
• license key generation or modification;
• attempts to bypass license restrictions;
• unauthorized modification of the licensing mechanism.

If you believe your license was incorrectly suspended or revoked, you may contact support for review.

6. Backup and Data Responsibility

msoBACKUP is a backup tool and does not guarantee that your data will never be lost.

You are solely responsible for maintaining appropriate backups of important data and for verifying that your backups are complete and recoverable.

You should maintain multiple copies of important data and, where appropriate, store backups on independent storage devices or locations.

I am not responsible for data loss, corruption or inability to recover data resulting from, including but not limited to:

• hardware failure;
• storage device failure;
• filesystem corruption;
• operating system failure;
• malware or ransomware;
• incorrect backup configuration;
• incorrect source or destination selection;
• insufficient storage capacity;
• user deletion or modification;
• network failure;
• power failure;
• permissions or access restrictions;
• unsupported filesystem behavior;
• third-party software;
• third-party hardware or services;
• circumstances beyond my reasonable control.

You should never rely on msoBACKUP as the sole copy or sole protection mechanism for critical data.

7. LAN and Network Features

msoBACKUP may provide HTTP, SMB, WebDAV and other LAN services.

You are responsible for configuring these services securely.

You should not expose these services to the public Internet unless you understand the associated security risks and have implemented appropriate security measures.

You are responsible for:

• network configuration;
• firewall configuration;
• access permissions;
• passwords;
• files shared through these services;
• users granted access.

I am not responsible for unauthorized access resulting from your network or security configuration.

8. Acceptable Use

You may not use msoBACKUP to:

• violate applicable laws;
• infringe intellectual property rights;
• distribute malware;
• facilitate unauthorized access;
• conduct fraudulent activities;
• circumvent licensing restrictions;
• distribute cracked or modified versions;
• reverse engineer the licensing mechanism for the purpose of bypassing license restrictions;
• resell or redistribute the Software without authorization.

Nothing in this section prohibits activities that cannot legally be restricted under applicable law.

9. Intellectual Property

msoBACKUP, including its software, source code, user interface, design, graphics, documentation, trademarks and related materials, is owned by or licensed to NGUYEN HAI QUANG MINH.

The purchase of a license does not transfer ownership of the Software.

You receive a license to use the Software, not ownership of the Software.

10. Updates

msoBACKUP may provide automatic updates, bug fixes, security updates and new versions.

Updates may add, modify or remove functionality.

I do not guarantee that every feature available in one version will remain available in future versions.

11. Third-Party Services

msoBACKUP may interact with third-party software, operating-system components, storage systems, payment providers and network services.

Third-party services are outside my control and I do not guarantee their availability, compatibility or continued operation.

12. Support

Technical and product support is available through:

Reasonable efforts will be made to respond to support requests.

Support does not constitute a guaranteed service-level agreement unless otherwise agreed in writing.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, msoBACKUP is provided "AS IS" and "AS AVAILABLE."

I do not warrant that:

• the Software will be completely error-free;
• the Software will operate on every computer or hardware configuration;
• backups will always complete successfully;
• backups will always be recoverable;
• the Software will satisfy every particular requirement;
• the Service will always be available;
• future versions will maintain the same functionality.

Nothing in these Terms excludes or limits any warranty or legal right that cannot lawfully be excluded or limited.

14. Limitation of Liability

To the maximum extent permitted by applicable law, I will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of:

• data;
• profits;
• revenue;
• business opportunities;
• goodwill;
• business interruption.

To the maximum extent permitted by applicable law, my total aggregate liability arising from your use of msoBACKUP will not exceed the amount you paid for the applicable msoBACKUP license during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

15. Termination

I may suspend or terminate a license if you materially violate these Terms.

Examples include piracy, fraud, unauthorized redistribution and attempts to circumvent licensing restrictions.

Termination does not affect rights or obligations that accrued before termination.

16. Changes to These Terms

I may update these Terms from time to time.

The latest version will be published on the msoBACKUP website.

Your continued use of msoBACKUP after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

17. Payment Processing

Purchases made through Paddle are processed by Paddle.com, which acts as the Merchant of Record / authorized reseller for transactions processed through Paddle.

Paddle handles payment processing, applicable transaction taxes, receipts and transaction-related payment support.

I provide the Software license and technical/product support.

Payment and refund matters are subject to Paddle's applicable terms and policies.
